This Program Disclaimer (“Disclaimer”) applies to the Bayi Global Digital Ambassadors Program (“Program”), operated by Bayi Global Integration FZC LLC, United Arab Emirates (“Bayi Global,” “we,” “us,” or “our”).

This Disclaimer explains important limitations, responsibilities and conditions associated with applying for, participating in, promoting or receiving information about the Program.

All applicants and participants are encouraged to read this Disclaimer carefully together with the:

Participation in the Program is subject to those documents and to any applicable written Program instructions provided by Bayi Global.

2. NATURE OF THE OPPORTUNITY

The Bayi Global Digital Ambassadors Program is a remote, part-time, performance-based opportunity.

It is designed to enable approved Digital Ambassadors to introduce and support genuine participants through approved participation processes and potentially earn performance rewards when the required conditions are successfully completed and verified.

The Program is not advertised or offered as a fixed-salary employment position.

Participation does not by itself guarantee:

• employment;

• a fixed salary;

• hourly wages;

• minimum working hours;

• minimum monthly income;

• commissions merely for registering people;

• guaranteed referral numbers;

• guaranteed performance rewards; or

• any particular level of income.

Nothing in this Disclaimer is intended to exclude any employment, worker, consumer or other statutory rights that may apply mandatorily under applicable law.

3. PERFORMANCE-BASED REWARD

The current advertised Program opportunity provides a potential performance reward of:

US$50 for 50 Verified Qualified Referrals

This is a conditional performance reward.

It is not US$50 merely for joining the Program.

It is not US$50 merely for introducing 50 people.

It is not US$50 for 50 clicks, leads, contacts or registrations.

Each referral must satisfy the applicable qualification requirements and be verified by Bayi Global as a Verified Qualified Referral.

The full qualification requirements are contained in the Rules of Participation and applicable Program training.

4. NO GUARANTEE OF EARNINGS

Bayi Global does not guarantee earnings, income or financial results.

Statements referring to “potential earnings,” “rewards,” “performance rewards,” or similar expressions describe what may become payable when specified requirements are successfully satisfied and verified.

They do not constitute a promise that every Ambassador will earn that amount.

Results may vary significantly depending on factors including:

• Ambassador activity;

• number of genuine referrals;

• participant interest;

• participant completion;

• communication and follow-up;

• compliance with Program requirements;

• successful verification;

• third-party platform availability;

• changes to third-party processes; and

• circumstances outside Bayi Global's reasonable control.

No applicant should participate on the assumption that a particular amount of income is guaranteed.

5. NO PAYMENT FOR REGISTRATION ALONE

Registration by an Ambassador or referral does not itself create entitlement to payment.

A referral must complete all applicable qualifying stages before being counted toward a performance reward.

Accordingly:

Registration alone does not qualify.

A participant who registers but does not complete the applicable process may not be counted as a Verified Qualified Referral.

6. VERIFIED QUALIFIED REFERRALS

For purposes of the Program, Bayi Global may require verification that a referred participant:

• is a genuine individual;

• completed the approved registration process;

• completed required account verification;

• completed required participation activities;

• completed applicable final qualification requirements;

• completed an applicable exchange or completion process where required;

• was properly attributed to the Ambassador;

• complied with applicable Program requirements; and

• successfully passed Bayi Global's final verification.

Only referrals that satisfy the applicable requirements are counted as Verified Qualified Referrals.

7. REPEAT PERFORMANCE BATCHES

Subject to Program availability and continued compliance, an Ambassador who completes one verified batch may be permitted to begin another qualifying batch.

Under the current structure:

50 Verified Qualified Referrals → US$50

A subsequent batch of another 50 Verified Qualified Referrals may qualify for another US$50 performance reward.

Each batch is independently subject to qualification and verification.

Previous referrals cannot simply be counted again in another batch.

The availability of repeat batches is not a guarantee that the Program will continue indefinitely or remain unchanged.

8. NO GUARANTEE OF THIRD-PARTY PLATFORM EARNINGS

The Bayi Global Digital Ambassadors Program may involve participation through one or more independent third-party digital platforms.

Any rewards, points, coins, virtual items, gifts, bonuses, exchange mechanisms, withdrawal mechanisms, host earnings or other benefits offered by an independent platform are governed by that platform's own rules.

Unless expressly stated otherwise in writing:

Bayi Global does not guarantee earnings, withdrawals, exchange values, points, coins, bonuses or financial results offered by an independent third-party platform.

The US$50 Bayi Global performance reward should therefore be distinguished from any rewards or benefits independently provided by a third-party platform.

9. THIRD-PARTY PLATFORM INDEPENDENCE

Bayi Global may use, introduce, support participation in or provide training relating to independent third-party digital platforms.

Unless expressly stated otherwise:

• Bayi Global does not own the third-party platform;

• Bayi Global does not operate the third-party platform;

• Bayi Global does not control its servers;

• Bayi Global does not determine all of its internal policies;

• Bayi Global does not control its financial systems;

• Bayi Global does not control all account decisions; and

• Bayi Global cannot guarantee its continued operation.

Participation in the Bayi Global Program should not be interpreted as ownership, sponsorship, endorsement, partnership or employment relationship between Bayi Global and a third-party platform unless such a relationship is expressly confirmed in writing by the relevant parties.

10. THIRD-PARTY PLATFORM CHANGES

Independent platforms may modify their:

• registration requirements;

• verification procedures;

• participation requirements;

• host systems;

• rewards;

• points;

• coins;

• virtual currencies;

• gift systems;

• ranking systems;

• exchange rates;

• exchange procedures;

• withdrawal mechanisms;

• eligibility rules;

• geographical availability;

• account policies;

• technical features; or

• terms of service.

Such changes may occur without Bayi Global's control.

Where a material third-party change affects the Program, Bayi Global may modify, suspend or discontinue affected Program processes where reasonably necessary.

11. NO REPRESENTATION OF PERMANENT PLATFORM VALUE

Any third-party points, coins, credits, virtual items or similar digital units should not automatically be treated as cash, legal tender, deposits, investments or guaranteed stores of value.

Their availability, use, conversion, exchange or redemption depends upon the rules and continued operation of the relevant third-party platform.

Bayi Global does not guarantee that any third-party digital unit will retain a particular value or remain exchangeable indefinitely.

12. NO INVESTMENT ADVICE

Nothing on the Bayi Global Digital Ambassadors website, landing page, training materials, WhatsApp communities, social-media content or Program communications constitutes:

• investment advice;

• securities advice;

• cryptocurrency investment advice;

• financial planning;

• tax advice; or

• a recommendation to purchase an investment product.

The Program should not be presented by Ambassadors as an investment opportunity unless Bayi Global expressly establishes and lawfully documents such an arrangement.

13. NO REQUIREMENT TO RELY ON FINANCIAL PROMISES

Applicants should make participation decisions based upon the actual Program requirements disclosed to them and not upon exaggerated financial claims made by another participant, Ambassador or unrelated third party.

If an Ambassador or another individual makes a financial promise inconsistent with official Bayi Global materials, applicants should seek clarification directly from Bayi Global.

14. NO AUTHORITY FOR AMBASSADORS TO MAKE GUARANTEES

Digital Ambassadors are not authorised to guarantee:

• earnings;

• withdrawals;

• exchange values;

• platform longevity;

• participant success;

• account approval;

• payment dates outside Bayi Global's published process;

• third-party platform results; or

• future Program availability.

Unauthorised statements made by an Ambassador do not automatically become representations of Bayi Global.

Bayi Global may take action against Ambassadors who deliberately make misleading claims.

15. NO UNAUTHORIZED FEES

Unless Bayi Global expressly communicates otherwise through an official channel, Ambassadors must not invent or collect unauthorised:

• application fees;

• registration fees;

• recruitment fees;

• training fees;

• activation fees;

• verification fees; or

• compulsory investment payments

in Bayi Global's name.

Where an independent third-party platform offers optional purchases or paid features, those transactions are governed by the third party's applicable terms and must not be misrepresented as mandatory Bayi Global fees unless Bayi Global has expressly disclosed otherwise

.

16. APPLICANT RESPONSIBILITY

Applicants are responsible for reading the information provided before participating.

Each applicant should consider:

• whether they understand the Program;

• whether they can meet the participation requirements;

• whether participation is permitted in their country;

• whether they have adequate internet and technology access;

• whether they understand the performance-based nature of the opportunity; and

• whether they are comfortable using any relevant third-party services.

Applicants should ask questions before participating if they do not understand an important requirement.

17. INTERNATIONAL PARTICIPATION

The Program may be accessible to participants in multiple countries.

However, the availability of a website or application in a country does not automatically mean that every aspect of the Program is legally available in that jurisdiction.

Laws concerning:

• referral programs;

• independent work;

• advertising;

• electronic commerce;

• taxes;

• digital platforms;

• financial promotions;

• consumer protection;

• privacy;

• payments; and

• online earning opportunities

may differ between jurisdictions.

Participants are responsible for complying with laws applicable to them.

Bayi Global may restrict participation from a jurisdiction where legal, regulatory, payment, platform or operational concerns make participation inappropriate.

18. TAXES AND PERSONAL OBLIGATIONS

Performance rewards may have tax, reporting, licensing or other consequences depending upon the Ambassador's country of residence or personal circumstances.

Ambassadors are responsible for determining their own obligations.

Bayi Global does not provide individualized tax advice.

Where Bayi Global is legally required to report or withhold amounts, it may do so in accordance with applicable law.

19. TECHNOLOGY REQUIREMENTS

Participation may depend upon:

• smartphones;

• internet connectivity;

• email;

• messaging applications;

• third-party apps;

• cloud services;

• websites; and

• payment providers.

Bayi Global cannot guarantee uninterrupted access to technologies outside its reasonable control.

Temporary outages, connectivity failures, maintenance, device problems or third-party technical failures may affect participation.

20. EXTERNAL LINKS

Bayi Global websites or communications may contain links to third-party websites, applications or services.

External links are provided for legitimate Program, informational or convenience purposes.

Bayi Global is not responsible for the content, security, availability or privacy practices of independent websites merely because a link appears on a Bayi Global page.

Users should review applicable third-party terms and privacy policies.

21. PRIVACY AND PERSONAL INFORMATION

Personal information collected directly by Bayi Global in connection with the Program is handled in accordance with the applicable Digital Ambassadors Privacy Policy and relevant Bayi Global privacy documentation.

Third-party platforms may separately collect and process information under their own privacy policies.

Applicants should never give Ambassadors or other participants unnecessary sensitive credentials such as:

• passwords;

• OTPs;

• PINs;

• card PINs;

• private keys;

• recovery phrases; or

• account security codes.

22. FRAUD AND MANIPULATION

The Program is intended for genuine participants.

Bayi Global prohibits conduct including:

Bots • Fake Accounts • Duplicate Accounts • Self-Referrals • Fabricated Participants • Falsified Screenshots • Manipulated Evidence • Referral Theft • Identity Manipulation • Spam • Misrepresentation • Artificial Qualification

Where credible evidence of misconduct exists, Bayi Global may investigate affected referrals and take action in accordance with the Terms & Conditions and Rules of Participation.

23. VERIFICATION AND REVIEW

Bayi Global may verify referral completion before approving a performance reward.

Verification may include reasonable review of:

• referral attribution;

• registration;

• participation;

• completion;

• account status;

• platform information;

• relevant screenshots;

• exchange/completion evidence; and

• other information reasonably necessary to determine qualification.

Submission of a referral does not create an automatic entitlement to approval.

24. PROGRAM AVAILABILITY

The Program may be changed, suspended or discontinued where reasonably necessary because of:

• business requirements;

• third-party platform changes;

• regulatory requirements;

• legal developments;

• security concerns;

• fraud;

• technology failures;

• payment limitations; or

• other legitimate operational circumstances.

Participation does not create a guarantee that the Program will remain available indefinitely.

Where reasonably practicable, Bayi Global will communicate material changes affecting active participants.

25. INFORMATION ACCURACY

Bayi Global seeks to keep Program information accurate and current.

However, third-party information can change rapidly.

Where there is a conflict between an older promotional material and a subsequently issued official Program update, applicants should seek clarification from Bayi Global before relying on the older information.

Bayi Global may correct genuine errors, outdated information or typographical mistakes.

26. TESTIMONIALS AND EXAMPLES

Where testimonials, examples, screenshots, participant experiences or case studies are displayed, they should be understood as individual examples rather than guarantees of typical or future results, unless expressly stated otherwise.

Another person's result does not guarantee that an applicant will achieve the same outcome.

27. INTELLECTUAL PROPERTY

Bayi Global's:

• name;

• logo;

• website design;

• Program materials;

• training content;

• graphics;

• documents;

• templates;

• written content; and

• proprietary processes

may be protected by applicable intellectual-property rights.

Participation in the Program does not transfer ownership of Bayi Global intellectual property.

Authorized promotional use must comply with Bayi Global's branding requirements.

28. LIMITATION OF RESPONSIBILITY

To the maximum extent permitted by applicable law, Bayi Global will not be responsible for losses resulting solely from matters outside its reasonable control, including:

• independent third-party platform outages;

• third-party account decisions;

• internet outages;

• unauthorized third-party conduct;

• third-party policy changes;

• participant failure to follow instructions;

• inaccurate information supplied by an applicant;

• unauthorized promises made by another participant; or

• changes in applicable law or regulation.

Nothing in this Disclaimer is intended to exclude or limit liability where such exclusion or limitation would be unlawful.

29. NO EXCLUSION OF MANDATORY RIGHTS

Nothing in this Disclaimer removes rights or protections that cannot lawfully be waived under applicable law.

If a provision of this Disclaimer conflicts with a mandatory legal requirement applicable to a particular participant, the mandatory legal requirement will apply to the extent required by law.

30. PROGRAM DOCUMENTS WORK TOGETHER

This Disclaimer should be read together with the:

Digital Ambassadors Privacy Policy

explaining how Bayi Global handles personal information;

Digital Ambassadors Terms & Conditions

establishing the contractual conditions governing participation;

Digital Ambassadors Rules of Participation

establishing the operational requirements for Ambassadors and qualifying referrals.

The Disclaimer is not intended to override the Terms & Conditions.

Where an operational question arises, the Rules of Participation should also be consulted.

31. ELECTRONIC COMMUNICATIONS AND ACCEPTANCE

Program applications, notices, acknowledgements and agreements may be provided electronically where legally permissible.

UAE Federal Decree-Law No. 46 of 2021 recognises electronic offer and acceptance and provides that a contract does not lose its validity or enforceability merely because it is made electronically.

Accordingly, Bayi Global may use electronic application forms and acknowledgements as part of the Program onboarding process, subject to applicable law.

32. CHANGES TO THIS DISCLAIMER

Bayi Global may update this Disclaimer where reasonably necessary to reflect changes in:

• law;

• regulation;

• Program operations;

• third-party platforms;

• technology;

• qualification requirements; or

• business practices.

The latest version should display its Last Updated date.

Where a material change significantly affects active participants, Bayi Global should provide appropriate notice where reasonably practicable or legally required.
